1. Introduction

Aqari 53 (the “Platform”) is owned and operated by Depthical (“we,” “our,” or “us”). These Terms & Conditions (“Terms”) govern your access to and use of the Platform, including the website, mobile application, and related services. By accessing or using the Platform, you agree to these Terms and to our Privacy & Cookie Policy. If you do not agree, please discontinue use immediately.

2. Scope of Service

The Platform provides an online space where users may list, advertise, discover, rent, lease, or sell real estate properties. We act only as a technology intermediary and do not operate as a broker, agent, or legal representative for any party. Users are solely responsible for verifying property details and conducting independent due diligence.

3. Definitions

• User: Any individual or entity accessing the Platform.
• Subscriber: A user who has purchased or subscribed to a paid plan.
• Listing: Any property or advertisement uploaded onto the Platform.
• Services: All tools, features, data, and functionality provided through the Platform.

4. Account Registration & Responsibility

To access certain features, users may be required to create an account with accurate, current information. You are responsible for maintaining account security and confidentiality. You agree not to impersonate others or use the Platform for unlawful activities.

5. Listings, Media & User Obligations

When uploading property details or media, you confirm that:

• You own or have rights to the submitted content.
• All listing details (ownership, pricing, area, approvals) are accurate and truthful.
• No media contains minors or identifiable individuals without consent.
• No content is defamatory, obscene, violent, discriminatory, or illegal.
• You grant Depthical a non-exclusive, worldwide license to display and promote your listing on the Platform.

We may review, edit, or remove listings that appear inaccurate, misleading, or unlawful.

6. Content Moderation & AI Tools

We use automated and human moderation systems to detect spam, violations, or risky content. While we take reasonable steps to maintain accuracy, no moderation system is perfect. Users may appeal moderation decisions through the grievance process.

7. Third-Party Services

The Platform integrates with third-party services such as Razorpay, Stripe, PayPal, Google Maps, Firebase, and social login providers. By using these features, you agree to their respective terms. We are not liable for their performance, accuracy, or security practices.

8. Payments & Refund Policy

Paid plans operate strictly on a 100% advance, non-refundable basis. Refunds, if applicable, may be granted solely at our discretion. Payment information is processed securely through authorized gateways; we do not store sensitive payment data.

9. International Payments & Taxes

Cross-border payments may be processed under applicable laws, including FEMA (India) and international anti-money-laundering norms. Users are responsible for taxes or duties in their jurisdiction.

10. Intellectual Property

All content, software, design, and trademarks on the Platform—including “Aqari 53”—belong to Depthical. Users are granted a limited license to use the Platform for personal or internal business use. Copying, scraping, reverse engineering, or unauthorized data extraction is strictly prohibited.

11. Acceptable Use

You agree not to engage in activities such as:

• Uploading harmful, misleading, or unlawful content
• Attempting unauthorized access to systems
• Introducing malware or harmful code
• Using bots or scrapers to extract data
• Abusing communication tools or spamming users

12. Disclaimer of Warranties

The Platform is provided on an “as is” basis. We do not guarantee uninterrupted service, error-free performance, or accuracy of user-provided listings.

13. Limitation of Liability

To the maximum extent permitted by law, Depthical’s liability is limited to the subscription amount paid in the previous 6 months. We are not liable for indirect or consequential damages, including loss of data or profits.

14. Indemnity

You agree to indemnify and hold Depthical harmless from claims arising from your use of the Platform, your listings, or your breach of these Terms.

15. Termination

We may suspend or terminate access to the Platform without notice if you violate these Terms or engage in fraudulent or harmful activities.

16. Force Majeure

We are not responsible for delays caused by events beyond reasonable control, including natural disasters, cyberattacks, outages, or government restrictions.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Disputes shall be resolved in Mumbai through arbitration under the Arbitration & Conciliation Act, 1996, with Mumbai as the seat and venue.
